Internationally renowned blue laser manufacturer NUBURU recently announced the acquisition of Italian laser company Lyocon Srl ("Lyocon"), with relevant agreements already signed. The transaction is expected to close by December 31, marking NUBURU's third acquisition this year.
According to available information, Lyocon was founded in 2014 and specializes in designing, developing, and manufacturing advanced laser sources, precision optical systems, and customized laser platforms for industrial, medical, and high-reliability applications.
The company possesses laser technologies spanning the visible spectrum (including 450nm blue light) to the near-infrared band, with power ranges from several watts to thousands of watts. It possesses manufacturing capabilities from direct diodes to DPSS lasers. Its significant technical advantage lies in providing complete "turnkey" laser system solutions rather than merely supplying components.
Lyocon's blue laser systems exhibit high absorption characteristics in materials such as metals, aligning closely with NUBURU's core technological focus. This acquisition expands NUBURU's footprint in the European market, enhances its capability to deploy next-generation products in industrial automation, precision manufacturing, and defense sectors, and solidifies its position as a comprehensive defense technology and industrial laser supplier. It also deepens the technological foundation for NUBURU's ongoing strategic collaboration with Tekne.
Lyocon's capability for rapid customization of full-stack laser systems also provides NUBURU with a direct manufacturing foothold in Europe, enabling support for clients requiring secure, high-reliability production.
According to the announcement, the total transaction consideration amounts to $2 million USD. $500,000 USD will be paid in cash at closing, with the remaining $1.5 million USD payable via convertible notes convertible into either stock or cash, subject to the company's minimum valuation of $1.5 million USD at the time.
Notably, the agreement includes performance-based earn-outs, designed by NUBURU as a phased, contingent payment incentive mechanism for the Lyocon acquisition. Its core provision stipulates that within five years of the transaction closing, Lyocon's original shareholders (typically the founding team) may receive up to $1 million based on the company's future actual operating performance. This payment is not lump-sum; its specific amount will be directly tied to Lyocon's post-acquisition revenue, profit margins, and pre-agreed key performance indicators (KPIs).
Additionally, NUBURU commits to injecting $1 million into Lyocon's 2026–2030 business plan. Following the acquisition, Lyocon's two founders, Paola Zanzola and Alessandro Sala, will remain in management roles while serving as technical and operational advisors to NUBURU.
However, acquiring Lyocon represents just one chapter in NUBURU's ambitious integration narrative this year.
Earlier, through the phased acquisition of Tekne, NUBURU secured substantial defense contracts, industry certifications, and deep relationships with key clients.
Simultaneously, its investment in software company Orbit injected the critical "software soul" needed for defense sector transformation, completing its capability to deliver operational resilience solutions. This aims to create a closed-loop ecosystem of "hardware defense + software management."
Throughout the year, all of NUBURU's resources and actions have been directed toward its transformation from a blue laser manufacturer facing pressures in the civilian market into a comprehensive supplier offering integrated hardware-software solutions for defense and security.
Financially, both the performance-based earn-out provisions in the Lyocon deal and the phased acquisition strategies for Tekne and Orbit reflect the company's prudent approach to balancing risk control and incentivizing synergies during expansion. To fund acquisitions, NUBURU completed a $12 million public offering in September 2025.
The Lyocon acquisition fortified the photonics and laser technology layer underpinning this ecosystem, bolstering NUBURU's capability to develop integrated defense and security platforms. Consequently, its future hinges on successfully integrating these cross-domain assets to evolve into a trusted core supplier of next-generation defense and security technologies for its customers.
